This Non-Disclosure Agreement is entered into between Divine Energy and The First Name & Last Name at the given Address which are collectively referred to as the "Parties" for the purpose of preventing the unauthorised disclosure or use of certain confidential information.
The term "Confidential Information" refers to any proprietary, technical, scientific, business, financial, or other information disclosed by the Disclosing Party to the Receiving Party, in written, oral, electronic, or any other form, that is designated as confidential or would be understood to be confidential based on the nature of the information and the circumstances surrounding its disclosure. Confidential Information may include, but is not limited to:
• Unapproved sharing of access to the student portal
• Written Material in form of manuals and charts
• Unapproved sharing of any video material
• Any other information marked or identified as confidential.
• A, the Receiving Party agrees to use the Confidential Information solely for the purpose of their own education and ongoing professional application in any business that they commence. B, the Receiving Party shall exercise reasonable care to maintain the confidentiality and prevent the unauthorised use or disclosure of the Confidential Information. C, the Receiving Party shall not disclose, transfer, publish, or make available the Confidential Information to any third party without the prior written consent of the Disclosing Party, except as required by law.
• This Agreement shall commence on the effective date and shall remain in effect unless otherwise terminated in writing by the disclosing party. The obligations of confidentiality under this Agreement shall survive its termination.
• Exclusions: The obligations set forth in this Agreement shall not apply to any information that: a. Was already known to the Receiving Party prior to its disclosure by the Disclosing Party. b. Becomes publicly available through no fault of the Receiving Party.
• Remedies and Consequences: a. In the event of a breach or threatened breach of this Agreement, the Disclosing Party shall be entitled to remove access to the student portal indefinitely. b. The Receiving Party acknowledges that any unauthorised use or disclosure of the Confidential Information may cause irreparable harm to the Disclosing Party, for which monetary damages may not be an adequate remedy. This Agreement shall be governed by and construed in accordance with Australian Law. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Australia.
This Agreement may also be executed in counterparts, each of which shall be deemed an original and all of which shall constitute one instrument.
